The term sheet : Why-What-How (FR)

Lors d’une levée de fonds, quand les discussions convergent entre la start-up et ses potentiels investisseurs et avant que des frais importants soient engagés pour la due due-diligence et la contractualisation, il est temps de mettre en place un term sheet. Le term sheet est un document de 5 à 10 pages, également appelé lettre d’intention (ou LoI : letter of intent), qui préfigure les engagements contractuels. Il n’y a pas recette miracle pour le rédiger mais de bons principes universels que nous partageons avec vous dans ce TIPS.

Comme nous l’indiquions lors d’un précédent TIPS, un des éléments scrutés par les investisseurs est l’équipe, sa complémentarité et sa solidité. Et dans une petite structure chaque personne compte double. Le moindre faux-pas en matière de recrutement peut condamner la start-up. Mais alors, à quoi s’attendre lorsqu’on rejoint une start-up ?
